TERMS AND CONDITIONS

1. AGREEMENT TO TERMS
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client") and Cana Media ("Company," "we," "us," or "our") concerning your use of our video marketing and content creation services.
By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. SERVICES
Cana Media provides professional video production, video marketing strategy, and social media content creation services for businesses in Columbus, Ohio and surrounding areas. Services include but are not limited to:

Strategic discovery sessions
Professional videography
Video editing and post-production
Content implementation guides
Social media strategy
Monthly retainer packages

3. EXCLUSIVE PARTNERSHIP POLICY
We maintain exclusive partnerships within specific industries per geographical market. By engaging our services, you acknowledge that:

We will not work with your direct competitors in your market area during our engagement
This exclusivity ends upon termination of services
We reserve the right to work with non-competing businesses in your industry

4. PROJECT SCOPE & DELIVERABLES
All services will be outlined in a separate agreement or proposal that specifies:

Project timeline
Deliverables
Payment terms
Revision allowances

Changes to project scope may result in additional fees.
5. CLIENT RESPONSIBILITIES
Client agrees to:

Provide timely feedback and approvals
Supply necessary access to locations, personnel, and brand materials
Ensure all provided content does not infringe on third-party rights
Maintain professional communication throughout the project

6. PAYMENT TERMS

50% deposit required to secure booking
Remaining balance due upon project completion unless otherwise agreed
Monthly retainers are billed on the first of each month
Late payments may incur a 1.5% monthly fee
All sales are final

7. INTELLECTUAL PROPERTY

Client retains ownership of final delivered video content upon full payment
Cana Media retains the right to use project materials for portfolio and marketing purposes unless otherwise agreed
Raw footage remains property of Cana Media unless purchased separately
Client warrants they have rights to all materials provided to Cana Media

8. CANCELLATION POLICY

Cancellations made more than 7 days before scheduled shoot: Full refund minus $250 administrative fee
Cancellations made 3-7 days before: 50% refund of deposit
Cancellations made less than 72 hours before: No refund
Rescheduling is subject to availability

9. LIMITATION OF LIABILITY
Cana Media's total liability shall not exceed the amount paid by Client for the specific service giving rise to the claim. We are not liable for:

Indirect, incidental, or consequential damages
Loss of profits or business opportunities
Results or performance of marketing campaigns
Third-party platform changes or policies

10. INDEMNIFICATION
Client agrees to indemnify and hold harmless Cana Media from any claims arising from:

Client's use of the delivered content
Breach of these Terms
Violation of any third-party rights
False or misleading information provided by Client

11. TERMINATION
Either party may terminate services with 30 days written notice. Upon termination:

Client pays for all work completed to date
Cana Media delivers all completed work
Exclusivity provisions end

12. GOVERNING LAW
These Terms are governed by the laws of the State of Ohio. Any disputes shall be resolved in the courts of Franklin County, Ohio.
